1. About this Agreement
This End-User License Agreement (“Agreement”) governs the use of Palm Beach Pool Service Customer App Admin Panel (“Application”), provided by Custom(er) LLC (“Provider,” “we,” or “us”), by Palm Beach Pool Service LLC (“Client”) and its authorized employees and contractors (“Authorized Users”).
The Application is a private business application developed for Client’s pool-service operations. It is not offered for public registration or use by unrelated businesses.
Client accepts this Agreement through a signed agreement. The person accepting on Client’s behalf must have authority to bind Client.
2. License and permitted use
Subject to this Agreement, Provider grants Client a limited, nonexclusive, nontransferable license to use the Application during the month-to-month term of the Service Agreement, solely for Client’s internal business operations.
The Application supports importing the Client’s customer, location, pool, technician and route records from the Client’s route-management system; maintaining which customers may access the Client’s customer mobile application; sending announcements and automated service reminders to those customers; publishing promotional cards to the mobile application; reading customer feedback submitted through it; and linking customer records to QuickBooks Online so that customers may view their own invoices.
Client may permit Authorized Users to access the Application and is responsible for managing their access and ensuring their compliance with this Agreement.
Client and Authorized Users must not resell or sublicense access, access another business’s information without authorization, circumvent security controls, introduce malicious software, or use the Application unlawfully. Restrictions on reverse engineering apply only to the extent permitted by law.
3. QuickBooks Online integration
The Application integrates with Client’s QuickBooks Online account through Intuit’s authorization process. Client must maintain its own eligible QuickBooks Online account, and the person connecting it must have the necessary authority.
By authorizing the connection, Client instructs Provider to access and process the following information and perform the following operations:
Read only, on demand. The Application reads the company profile, the customer list (display name, company name, email, telephone, billing address and outstanding balance), and invoices (number, dates, amounts, balance, line items, payment terms, the memo written to the customer, the billing address and applied payments) for the authorized QuickBooks company. The Application performs no write operations against the Client’s QuickBooks company: it creates, edits and deletes nothing, and synchronization is one directional, from QuickBooks into the Application. Nothing is copied on a schedule; QuickBooks is queried only when an authorized user or a customer opens a screen that shows this information. The Application does not read the private note held on an invoice. Card payments are not processed by the Application: paying an invoice directs the customer to Intuit’s hosted payment page, and no card details reach the Provider.
Provider will use the connection only to provide and support the agreed Application functions. The connection is limited to Client’s authorized QuickBooks company.
QuickBooks Online is provided by Intuit under separate terms. Intuit is not a party to this Agreement. Provider does not represent that the Application is endorsed by Intuit.
Intuit service changes, outages, access restrictions, and authorization expiration may affect the integration.
4. Client responsibilities
Client is responsible for:
- Maintaining accurate information and reviewing synchronized accounting records.
- Having the rights and providing any notices or permissions required to process information through the Application.
- Protecting user credentials and promptly removing access for personnel who no longer require it.
- Reporting suspected unauthorized access to security@thecustomer.io.
- Reviewing invoices, transactions, and synchronization errors before relying on affected records.
The Application does not provide legal, tax, or accounting advice. Payment processing or movement of funds is outside the agreed scope unless expressly included in the Service Agreement.
5. Data and confidentiality
As between Client and Provider, Client retains its rights in its business data. Client authorizes Provider to host, transmit, and process that data only as necessary to provide, maintain, secure, and support the Application, follow Client’s documented instructions, and comply with law.
Provider may use service providers subject to appropriate confidentiality and data protection obligations.
Each party will use reasonable care to protect the other party’s confidential information and disclose it only as necessary to perform this Agreement or as legally required.
Information handling is described in the Privacy Policy at https://palm-beach-pool-service.web.app/privacy/. Any applicable signed data processing agreement controls conflicting contractual data processing terms.
6. Ownership and commercial terms
Ownership of the Application, custom development, and preexisting software is governed by the Service Agreement.
Fees, support, service duration, and any availability commitments are described in the Service Agreement. Support is available at support@thecustomer.io.
A signed agreement between Client and Provider controls over conflicting provisions of this Agreement.
7. Disconnection and termination
Client may disconnect QuickBooks Online through its connected-app controls or the QuickBooks page of the Application, using the Disconnect control. Assistance is available at support@thecustomer.io.
Once revocation is effective, the Application can no longer make authorized API requests through that connection. Disconnection does not reverse completed transactions, delete existing QuickBooks records, or automatically delete information previously stored by the Application.
Either party may terminate this Agreement at any time by written notice, with no notice period required. Provider may suspend affected access when reasonably necessary to address a security threat or unlawful use.
Upon termination, Client’s license ends. Client may request a data export at any time from the start of the contract, in CSV or Excel format. Provider will return or delete information according to the applicable agreement and Privacy Policy, subject to lawful retention requirements.
8. Warranties and liability
Except for express written commitments and to the extent permitted by law, the Application is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. Provider does not guarantee uninterrupted operation or error-free synchronization.
To the extent permitted by law, neither party is liable for indirect, special, incidental, or consequential damages. Each party’s aggregate liability under this Agreement is limited to the liability outlined in the Service Agreement.
These limitations do not apply to fraud, willful misconduct, liability that cannot lawfully be limited, or other exceptions governed by the Service Agreement.
9. General terms
This Agreement is governed by the laws of the State of Florida. Disputes will be brought in Palm Beach County Court, subject to applicable mandatory law.
Amendments require the acceptance process outlined in the Service Agreement. If a provision is unenforceable, the remaining provisions remain effective. Provisions intended to survive termination will continue to apply.
